PLEASE READ THESE TERMS CAREFULLY

BY USING THE APP, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, WE KINDLY REQUEST THAT YOU DO NOT USE THE APP.

Who we are and what this agreement does

(1)  We are Raze London Ltd, a company incorporated in England and Wales under Company number 15555188 of 5 Madeley Court, Madeley Road, London, W5 2LD (“we” “us” “our”).

(2)  Subject to these Terms we license you to use the Raze mobile application software and the data supplied with the software (Raze App) and any updates or supplements to it as permitted in these terms.

(3)  Users of the Raze App can register an account for the Raze App (“Account”) by downloading it, and providing their name, postal address, and email address (“Users”).

The Raze App

(1)  The Raze App is made available free of charge and use of the Raze App is free.

(2)  Subject to these Terms the Raze App enables you to:

(a)  access the Raze London Campaigns Marketplace to join a Campaign (as defined below);

(b)  Register as a Raze Promoter (as defined below);

(c)   Promote a Campaign by using designated Brand branded bags for the Campaign in London (“Raze Bags”) to earn Raze Tokens (as defined below)

(d)  access the Raze London Rewards Marketplace to use Raze Tokens to unlock rewards from Brands (defined below).

Campaigns

(1)  From time to time the Raze App will show active outdoor advertising campaigns in London being run by a third party brand who is a member of the Raze Impact Brand Community (defined below) (each a “Brand and together the “Brands”) in which Users can participate by using Raze Bags (together “the Campaigns” and each a “Campaign”).

(2)  Users can match up to a Campaign via the Raze London Campaigns Marketplace (“Raze Promoter”) to start to generate credit on the Raze App (“Raze Tokens”) based on the relevant earning rate for that Campaign (‘Earning Rate’).

(3)  The Earning Rate for each Campaign consists of (i) the Bonus Rates displayed for the Campaign on the Raze London Campaigns Marketplace; and (ii) the Base Rates determined by us.

(4)  At all times when acting as a Raze Promoter you must comply with the Raze Promotion Rules (shown at the end of this document).

(5)  Non-compliance with the Raze Promotion Rules may result in us terminating your use of the App, preventing you from being a Raze Promoter, restricting your ability to spend any of your Raze Tokens or suspending your access to the Raze London Marketplace.

Raze Promotions

(1)  Once you have signed up to a Campaign you can order the relevant Raze Bags for the Campaign.

(2)   Upon receipt of the Raze Bag you must link up the Raze Bag to your Account by scanning the unique QR code on its side panel.

(3)   Provided you are within the London catchment area, and once you have matched to a Campaign and are linked up to a Raze Bag, you can scan the unique QR code on the side panel of your Raze Bag and share your GPS location every 30 seconds to start the promotion for the relevant Campaign (“Raze Promotion”)

(4)  Each Raze Promotion must be carried out in accordance with the Rules.

(5)   After completing a Raze Promotion, you will generate Raze Tokens at the rate calculated by us.  This is based on (i) an estimated number of Out-of-home impressions you have generated, as counted through data models supporting the Raze App, and (ii) the published “Earning Rates” as set out above.

Raze Tokens

(1)  Raze Tokens may only be generated by matching up to Campaigns and promoting the Campaign by using and scanning Raze Bags carried around London as part of a Raze Promotion.

(2)  Raze Tokens may only be used on the ‘Raze London Rewards Marketplace’ which is a designated marketing platform made available via the Raze App which offers rewards and discounts for Users on purchasing products and services from Brands (“Raze London Marketplace”).

(3)  Your Raze Token balances can be viewed in the Raze App and are determined by the total number of Raze Tokens generated minus the total amount used (“Raze Token Balances”).

(4)  Raze Tokens are at all times a marketing tool to gamify access to rewards and discounts being offered by Brands. We do not pay you to use the Raze App or to participate in a Campaign as a Raze Promoter. You are never an employee or worker of either the Brands or us.

(5)  For the avoidance of doubt, Raze Tokens have no monetary value, have no cash equivalent and are not money in any form.  All rewards and discounts are supplied to users directly from Brands.

(6)  At all times any decision in respect of the Raze Tokens and the calculations in respect of the same remains vested in us.

(7)  In the event that you return any product or seek any discount, claim, refund or otherwise in relation to any product or service from a Brand we will not be able to amend or replace the Raze Token’s used towards such products or services. Any redress in respect of Raze Token’s should be directed to the Brand.

Raze London Rewards Marketplace

(1)  The Raze App enables you to access the Raze London Marketplace where you can spend Raze Tokens subject to these Terms.

(2)  Subject to these Terms you will be able to use Raze Tokens for discounts on products and services from Brands.

(3)  There may be minimum spends or other restrictions for any purchases when using Raze Tokens or purchasing products of services from Brands via the Raze London Marketplace. These depend on the Brand, the purchases you’ve previously made, and First Purchase Allowances (set out below).

(4)  Users are restricted to one “first purchase” per Brand through which they can redeem bronze, silver and gold tier allowances. Following a first purchase, users will be able to continue redeeming “Infinity rewards” from a brand.

(5)  At no time are we responsible for any products purchased from a Brand via the Raze London Marketplace or otherwise. At all times you are contracting directly with the Brand for the product and services. You will need to make your own independent judgement about whether to purchase any product or service from a Brand.

(6)  We accept no liability for any products purchased from a Brand via the Raze London Marketplace or otherwise.

First Purchase Allowances

(1)  First Purchase Allowances are measured in Raze Tokens, but they are distinct from the Raze Token Balances. 

(2)  First Purchase Allowances are divided into Bronze, Silver and Gold sub-allowances (“First Purchase Sub-Allowances”). 

(3)  Your First Purchase Sub-Allowances determine access to the three different tiers of First Purchase Rewards across the community of Brands in the Raze App as set out below. 

(4)  The First Purchase Sub-Allowances are determined by use of the Raze App. Silver allowances increase the more Users redeem Raze Tokens through bronze allowances.  Gold allowances increase the more users redeem Raze Tokens through silver allowances.

(5)  Gold and silver allowances may also, from time to time, be awarded to Users in our own discretion.

First Purchase Rewards

(1)  Fixed discounts are awarded by Brands to Users who are purchasing something from them for the first time (“First Purchase Rewards”).  There are three tiers of First Purchase Rewards available Bronze, Silver and Gold.

(2)  Users are only able to access and use the tier (or the lower tier) available to them on the Raze App based on the level of their First Purchase Allowances and the requisite First Purchase Sub-Allowances. 

(3)  When using First Purchase Rewards towards purchasing products or services of a Brand you are required to pay the minimum spend required by the Brand for a first purchase as set out on the Raze App.

(4)  The Raze App will show the discount available to the User for using the relevant First Purchase Rewards as a deduction off the minimum spend required for the purchase. The Raze App will show the number of Raze Tokens that are needed to be exchanged by the User to use the First Purchase Reward.

(5)  The minimum spend for products and services of Brands and discounts will vary for different Brands offering vouchers rewards in the Raze App.

(6)  A User may only redeem one First Purchase Reward per Brand regardless of its tier.  For the avoidance of doubt, and by way of example: This means that if a bronze reward has been redeemed by a User as a First Purchase Award for a Brand then the User will not be able to redeem a bronze, silver or gold rewards (or any other First Purchase Reward of any tier) for the same Brand again in the future.

Infinity Vouchers

(1)  Infinity vouchers are offered by brands to Users who have already used their First Purchase Rewards with them.

(2)  Infinity vouchers offer a discount rate to Users for all completed purchases after the purchase using the First Purchase Reward has been completed.

(3)  Infinity vouchers have no minimum or maximum spending limits.  A User can spend as much as they like.  For example, if a User spends £100 with an infinity voucher offering them 10% discount, they will receive £10 off.  But if a User spends £200 with this voucher, they will receive £20 off.

(4)  When you redeem an infinity voucher via the Raze App we will not know the value of your final purchase to be able to calculate the number of Raze Tokens used to deduct from your Raze Token Balance. Accordingly you will see infinity vouchers initially priced at 0 Raze Tokens when these are initially redeemed by you against a Brand but once we are notified of the discount obtained we will calculate the number of Raze Tokens used against that infinity voucher and update the Raze Token Balances  to reflect the same.

(5)  A Raze Promoter must have a minimum Raze Token Balance of:

a.    500 Raze Tokens to claim 1 infinity voucher provided at all times that the User hasn’t previously redeemed any infinity voucher against that Brand via the Raze London Marketplace “New Brands”

b.    1000 Raze Tokens to have 2 infinity vouchers for 2 different New Brands)

c.     1500 Raze Tokens to have 3 infinity vouchers for 3 different New Brands; 

d.    2000 Raze Tokens to have 4 infinity vouchers for 4 different New Brands

e.    2500 Raze Tokens to have 5 infinity vouchers from 5 different New Brands.

f.      A raze promoter can’t have more than 5 unused infinity vouchers at any given time.

(6)  Once an infinity voucher is redeemed against a Brand the User cannot redeem another infinity voucher against that Brand until we have first confirmed the previous infinity voucher has been used.

(7)  Notwithstanding the above limits it is still possible for a purchase using an infinity voucher to put a Raze Token Balance in  negative.  If Raze Token Balances are negative you will still be able to use Infinity vouchers you have already redeemed if they haven’t been used but you will not be able to redeem any further infinity vouchers until your Raze Token Balances have returned to the levels required above.

Raze Impact

(1)  Raze Impact Ltd (Company number 13772920) (“Raze Impact”) is responsible for the Raze Impact Brand Community, which is distinct from us.

(2)  The Raze Impact Brand Community collectively facilitates the Brands interaction with the Raze App.

(3)  If you are a Brand any questions in respect of the Raze App should be directed to Raze Impact. In all other cases any questions about the Raze App should be directed to us.

Your privacy

Under data protection legislation, we are required to provide you with certain information including who we are, how we process your personal data and for what purposes and your rights in relation to your personal data and how to exercise them. This information is provided in our Privacy Policy unless you are using a specific service to which a different privacy policy applies, as set out below and it is important that you read that information.

Responsibility to Comply with App Store and Google Play terms

The ways in which you can use the Raze App may also be controlled by the rules and policies of the App Store and Google Play (as applicable to you)

System requirements

The Raze App requires a GPS enabled iOS or Android device with a sufficient amount of memory to run.

How to tell us about problems

Contacting us (including with complaints). If you think the Raze App is faulty or misdescribed or wish to contact us for any other reason, please email our customer service team at hello@raze-app.com.

How we will communicate with you. If we have to contact you, we will do so by email using the contact details you have provided to us in the Raze App.

How you may use the Raze App, including how many devices you may use it on

In return for your agreeing to comply with these terms you may:

• download a copy of the Raze App onto one device and view, use and display the Raze App on such devices for your personal purposes only; and

• receive and use any free supplementary software code or update of the Raze App incorporating "patches" and corrections of errors as we may provide to you.

• You must be over 16 to accept these terms and use the App 

You may not transfer the App to someone else

We are giving you personally the right to use the Raze App as set out above. You may not transfer the Raze App to someone else, whether for money, for anything else or for free. If you sell any device on which the Raze App is installed, you must remove the Raze App from it.

Changes to these terms

We may need to change these terms to reflect changes in law or best practice or to deal with additional features which we introduce.

We will give you at least 14 days notice of any change by sending you an email with details of the change or notifying you of a change when you next start the Raze App.

If you do not accept the notified changes you will not be permitted to continue to use the Raze App.

Updates to the Raze App and changes to the App

From time to time we may update the Raze App to improve performance, enhance functionality, reflect changes to the operating system or address security issues. Alternatively we may ask you to update the Raze App for these reasons.

If you choose not to install such updates or if you opt out of automatic updates you may not be able to continue using the Raze App.

We may update and change our Raze App from time to time to reflect changes to our needs and our business priorities.

Rights to discontinue, suspend or withdraw the Raze App

We do not guarantee that our Raze App, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our App for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

You are also responsible for ensuring that all persons who access our Raze App through your internet connection are aware of these Terms, and that they comply with them.

If someone else owns the phone or device, you are using

If you download (or use) the Raze App onto any phone or other device not owned by you, you must have the owner's permission to do so. You will be responsible for complying with these terms, whether or not you own the phone or other device.

The Raze App is only for users in England

The Raze App is directed to people residing in England and is London centric. We do not represent that content available on or through the Raze App is appropriate for use or available in other locations.

You must keep your account details safe

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at hello@raze-app.com.

We are not responsible for other websites you link to

The App may contain links to other independent websites which are not provided by us. Such independent sites are not under our control, and we are not responsible for and have not checked and approved their content or their privacy policies (if any).

You will need to make your own independent judgement about whether to use any such independent sites, including whether to buy any products or services offered by them.  This includes any brand advertised on the Raze App.

Licence restrictions

You agree that you will:

• not rent, lease, sub-license, loan, provide, or otherwise make available, the Raze App in any form, in whole or in part to any person without prior written consent from us;

• not copy the Raze App except as part of the normal use of the Raze App or where it is necessary for the purpose of back-up or operational security;

• not translate, merge, adapt, vary, alter or modify, the whole or any part of the Raze App, nor permit the Raze App to be combined with, or become incorporated in, any other programs, except as necessary to use the Raze App on devices as permitted in these terms;

• not disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of the Raze App nor attempt to do any such things, except to the extent that (by virtue of sections 50B and 296A of the Copyright, Designs and Patents Act 1988) such actions cannot be prohibited because they are necessary to decompile the Raze App to obtain the information necessary to create an independent program that can be operated with the Raze App or with another program (Permitted Objective), and provided that the information obtained by you during such activities:

• is not disclosed or communicated without our prior written consent to any third party to whom it is not necessary to disclose or communicate it in order to achieve the Permitted Objective; and

• is not used to create any software that is substantially similar in its expression to the Raze App;

• is kept secure; and

• is used only for the Permitted Objective;

• comply with all applicable technology control or export laws and regulations that apply to the technology used or supported by the Raze App.

Acceptable use restrictions

You must:

• not use the Raze App in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into the Raze App or any operating system;

• not infringe our intellectual property rights or those of any third party in relation to your use of the Raze App, including by the submission of any material (to the extent that such use is not licensed by these terms);

• not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the Raze App;

• not use the Raze App in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users; and

• not collect or harvest any information or data from the Raze App or our systems or attempt to decipher any transmissions to or from the servers running the Raze App.

Intellectual property rights

All intellectual property rights in the Raze App throughout the world belong to us (or our licensors) and the rights in the Raze App are licensed (not sold) to you. You have no intellectual property rights in, or to, the Raze App other than the right to use it in accordance with these terms.

Our responsibility for loss or damage suffered by you

We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable.

Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time you accepted these terms, both we and you knew it might happen.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so.

This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors or for fraud or fraudulent misrepresentation.

When we are liable for damage to your property.

If defective digital content that we have supplied damages a device or digital content belonging to you, we will either repair the damage or pay you compensation.

However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

We are not liable for business losses.

The Raze App is for domestic and private use. If you use the Raze App for any commercial, business or resale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Limitations to the Raze App. The Raze App is provided for general information and entertainment purposes only. It does not offer advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of information obtained from the Raze App. Although we make reasonable efforts to update the information provided by the Raze App, we make no representations, warranties or guarantees, whether express or implied, that such information is accurate, complete or up to date.

Do not rely on information on the Raze App

The content on the Raze App is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Raze App.

Although we make reasonable efforts to update the information on the Raze App, we make no representations, warranties or guarantees, whether express or implied, that the content on the Raze App is accurate, complete or up to date.

We are not responsible for viruses

We do not guarantee that the Raze App will be secure or free from bugs or viruses.

You are responsible for configuring your device to access the Raze App. You should use your own virus protection software.

You must not introduce viruses

You must not misuse the Raze App by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or otherwise harmfully interacting with the Raze App or any part of it.

You must not attempt to gain unauthorised access to the Raze App, the server on which the Raze App is stored or any server, computer or database connected to the Raze App or any other equipment or network connected with the Raze App.

You must not interfere with, damage or disrupt any software used in the provision of the Raze App or any equipment or network or software owned or used by any third party on which the Raze App relies in any way.

You must not attack the Raze App via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990.

We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Raze App will cease immediately.

Please back-up content and data used with the Raze App.

We recommend that you back up any content and data used in connection with the Raze App, to protect yourself in case of problems with the App.

Check that the Raze App is suitable for you

The Raze App and has not been developed to meet your individual requirements. Please check that the facilities and functions of the App (as described on the app store site) meet your requirements.

We are not responsible for events outside our control

If the Raze App or our provision of support for the Raze App is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event.

We may end your rights to use the Raze App if you break these terms

We may end your rights to use the Raze App at any time by contacting you if you have broken these terms in a serious way and may suspend your access to the Raze App whilst we investigate . If what you have done can be put right we will give you a reasonable opportunity to do so.

If we end your rights to use the Raze App:

• You must stop all activities authorised by these terms, including your use of the Raze App.

• You must delete or remove the Raze App from all devices in your possession and immediately destroy all copies of the Raze App which you have and confirm to us that you have done this.

·      We may remotely access your devices and remove the App from them and cease providing you with access to the Raze App.

We may transfer this agreement to someone else

We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

You need our consent to transfer your rights to someone else

You may only transfer your rights or your obligations under these terms to another person if we agree in writing.

No rights for third parties

This agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.

If a court finds part of this contract illegal, the rest will continue in force

Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

Even if we delay in enforcing this contract, we can still enforce it later

Even if we delay in enforcing this agreement, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this agreement, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

Which laws apply to this agreement and where you may bring legal proceedings

These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.

Raze Promotion Rules

(1) The Raze App is only suitable for use in London. We do not represent that content or Campaigns available on, or through, the Raze App are suitable for use, or available, in other locations.

(2) You will not be able to participate in a Campaign unless you are physically in London and able to scan Raze Bags in London as detailed on the relevant Campaign.

(3) You must only register one Account with us via the Raze App

(4) You must be 16 or over to accept these terms and use the Raze App. 

(5) Demographic information you provide relating to your DOB and age must be truthful.

(6) Raze Promoters can only update the demographic profile linked to their account one time themselves on the Account as this impacts the “earning rates” offered by Campaigns. Once Raze Promoters have updated demographic information to their profile, they cannot amend this (unless otherwise permitted by us).

(7) You can only match to one campaign - and one corresponding Raze Bag with this campaign – at any given time.

(8) You may only match to a new Campaign, and un-match from a prior Campaign, once every 14 days.

(9) We reserve the right to further restrict orders of Raze Bags by you if we deem it appropriate, in our utter discretion such as if you are repeatedly ordering them without using them to promote Campaigns.  

(10) By scanning the unique QR code on your Raze Bag for a second time in a new GPS location from your first scan, you are truthfully confirming to us that the Raze Bag is still present with your person and being used. We carry out random checks and audits of this process from time to time using an array of methods and will sanction Users found not to have complied.

(11) You may complete a relevant Raze Promotion by scanning the unique QR code on your Raze Bag for a third and final time. 

(12) Raze Bags you use to earn Raze Tokens must be kept in a good condition (meaning they are wholly intact, not crumpled, in a hygienic condition, and not defaced in any way so as to obscure the advertising message on display)

(13) Raze Bags must be with you, and visibly on display in London, throughout the entirety of a Raze Promotion. 

(14) You agree to share access to your camera for the purposes of both (i) scanning QR codes on the side panels of your Raze Bags, and (ii) allowing us to check that the Rules & Terms are being followed and respected.

(15) Non-compliance with the Rules may result in us terminating your use of the Raze App, preventing you from being a Raze Promoter, restricting your ability to spend any of your Raze Tokens or suspending your access to the Raze London Marketplace.

(16) At all times any final decision in respect of the Raze Tokens and your allowance remains vested in us.
